Acceptance
By accessing or using the CoreForge Data platform you agree to these Terms. If you are entering into them on behalf of an organization, you represent you have authority to bind that organization.
The service
CoreForge provides a hosted B2B revenue intelligence platform including audience building, signal scoring, AI copilot, and activation features. Specific features available to you are described in your order form.
Acceptable use
You will not use the service for credit, housing, employment, insurance, or healthcare eligibility decisions; to harass, deceive, or unlawfully discriminate; to scrape or resell the dataset outside permitted-use; or to bypass platform security or rate limits.
Customer data
You retain all rights in data you submit. You grant CoreForge a limited license to process it solely to provide the service. We will not train foundation models on your data.
Prospect dataset
The B2B dataset is licensed to you for permitted use described in your order form. You must honor opt-outs propagated through the platform and applicable law in your outreach.
Fees & taxes
Fees are described in the order form. Late amounts may accrue interest. Fees exclude taxes which are your responsibility.
Confidentiality
Each party will protect the other's confidential information with at least the same care it uses for its own, and no less than reasonable care.
Warranties & disclaimers
We warrant the service will materially conform to the documentation. EXCEPT AS STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
Limitation of liability
EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INDEMNITY OBLIGATIONS, EACH PARTY'S AGGREGATE LIABILITY IS LIMITED TO FEES PAID IN THE PRIOR 12 MONTHS. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.
Indemnification
We will defend you against third-party claims that the service infringes IP rights. You will defend us against claims arising from your data or your misuse of the service.
Term & termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material uncured breach after 30 days' notice.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Disputes are resolved in the courts of New Castle County, Delaware.
Changes
We may update these Terms. Material changes will be announced at least 30 days in advance. Continued use after the effective date constitutes acceptance.
